Terms of Use

1 INTRODUCTION

1.1 This website (the "Website") is operated by Generation Global: a programme of the Tony Blair Institute, trading as Tony Blair Institute for Global Change, a company limited by guarantee registered in England and Wales (registered company number: 10505963) whose registered office is One Bartholomew Close, London, EC1A 7BL.

1.2 Membership of the Generation Global online portal (provided and operated by Generation Global) (the "Service") is open to schools and students agreeing to these terms and conditions ("Terms and Conditions").

1.3 The Service includes access to certain information on the Website and any related material provided to participating schools whether by email or otherwise as determined by Generation Global (the "Content") and may include access to certain communication tools as determined by Generation Global (the "Tools").

1.4 Generation Global reserves the right without notice to remove any access to the Service of any and all teachers, staff, students and persons who access or supervise use of the Service through the School's membership of the Service (the "School Users"), to cancel the registration of the School entirely, to change the specification of the Service (and/or the Content or Tools) and/or withdraw the provision of the Service entirely.

1.5 These Terms and Conditions replace any previous Terms and Conditions or agreement governing the School Users' access to the Service.

2 REGISTRATION

2.1 To register a particular school (the "School") for the Service, the registering teacher of that School (the "Contact Teacher"), acting for and on behalf of the School, must agree to these Terms and Conditions. If the Contact Teacher has already registered the School using an earlier assent form then any use of the Service by any School Users shall constitute acceptance of these Terms and Conditions by the Contact Teacher and the School.

2.2 Where a School or School User is required to register and provide certain information about themselves they agree to: (a) provide true, accurate, current and complete information about themselves as prompted by the relevant registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data (by sending an appropriately worded email to helpdesk@generation.global) to keep it true, accurate, current and complete.

2.3 The Contact Teacher agrees to ensure that all School Users comply with all Terms and Conditions of this Agreement that are specified to be applicable to the School Users.

2.4 The registration processes on this Website may involve the Contact Teacher, and the School Users being allocated with unique usernames and/or passwords that give access to a Website account. The School and School Users are responsible for maintaining the confidentiality of all usernames and passwords so allocated, and are fully responsible for all activities that occur through their website accounts. The School and School Users agree to (a) immediately notify Generation Global if they become aware of any unauthorised use of their password or website accounts or any other breach of security by sending an appropriately worded email to helpdesk@generation.global, and (b) ensure that all users exit from their website account at the end of each session. Generation Global cannot and will not be liable for any loss or damage arising from any failure to comply with these requirements.

2.5 Where information (including sensitive financial or personal information) is provided to Generation Global (whether directly through the Website or otherwise) the School and the School Users accept that these methods of communication cannot be 100% secure. Generation Global cannot accept any responsibility or liability for any damages (other than liability for death or physical injury arising out of the negligence of Generation Global or its officers or any liabilities that cannot, as a matter of law, be excluded) arising from the misuse or loss of data or information submitted to Generation Global directly through the Website or otherwise.

2.6 The School accepts that it will be responsible and liable to Generation Global under these Terms and Conditions for any act or omission of its Contact Teacher and/or School Users.

3 CONTACT TEACHER

3.1 The School's Contact Teacher is responsible for:(a) ensuring that the School Users' use of the Service complies with the Generation Global Child Protection Policy and these Terms and Conditions;(b) monitoring the activity of the School Users and their compliance with these Terms and Conditions; and(c) promptly alerting Generation Global to any breach of these Terms and Conditions.

4 USE OF THE CONTENT

4.1 The School and School Users agree that in using the Service it shall (except where otherwise agreed in writing with Generation Global) use the Content only in accordance with the following permitted uses:(a) viewing the Content on a computer screen, downloading and printing not more than a reasonable number of copies for non-commercial educational purposes only;(b) where and to the extent (only) that permission to download and store the Content is specifically granted, downloading and storing may be onto a hard disk of the School's computer network but no further copy or transfer may be made; and(c) making only such other use (if any) of the Content as may be specifically authorised by Generation Global.

4.2 For the avoidance of doubt, the School and the School Users agree not to distribute, reproduce, modify, store, transfer or in any other way use any of the Content (including as part of any database, library, news, information, archive, website or similar service) other than as set out in these Terms and Conditions.

4.3 Any modification or use for any other purpose may infringe the copyright or other intellectual property rights, including trade marks, in the Content belonging to Generation Global.

4.4 The use by any School Users of the Content on any other website is prohibited.

5 UPLOADED MATERIAL

5.1 Generation Global authorise the School Users to upload materials to the online portal. The pages of the Website which allow School Users to upload materials are provided for private, non-commercial exchange of lawful, fair and appropriate information, opinions and comments. Use of the Website that is inconsistent with these purposes is strictly prohibited.

5.2 The Contact Teacher will ensure that any materials uploaded (and the content of any external websites linked from the Service) by the School Users are legal and appropriate and comply with these Terms and Conditions.

5.3 The School and the School Users agree not to use the Website: (a) to create a database (electronic or otherwise) that includes material downloaded or otherwise obtained from this Website except where expressly permitted on the Website; (b) to disseminate advertisements or for any other commercial purposes (which would include using the Website to promote or encourage the sale of your goods/services); (c) to transmit or re-circulate any material obtained from this Website to any third party except where expressly permitted on this Website; (d) in such a way so as to remove the copyright or trade mark notice(s) from any copies of any material made in accordance with these Terms and Conditions;(e) to disseminate any unsolicited or unauthorised advertising, promotional materials, "junk mail", "spam", "chain letters", "pyramid schemes", or any other form of solicitation; (f) to disseminate any material which is abusive, defamatory or obscene, may harass, offend or inconvenience any person, applauds, encourages or entices abuse, hatred, discrimination, harassment, intolerance or criminal activity or which might restrict or inhibit the use and enjoyment of the Website by any person;(g) to disseminate any material that contains software viruses or any other computer code, files or programs designed to interrupt, damage, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (h) in any way that might infringe third party privacy or other rights, is unlawful or that might bring Generation Global into disrepute; or (i) to post link(s) that take users to material that contravenes any of the above restrictions.

5.4 Where the School or any School User elects to upload materials to the online portal it accepts that: (a) Generation Global accepts no responsibility for any statements, material or other submissions placed on its online forums, or for any loss or damage resulting from the breach of the restrictions set out in paragraph 5.3 above; and (b) the School shall indemnify Generation Global, its associated companies and its representatives and employees from any and all claims and liabilities (including legal fees) which arise from any statements, contributions or other submissions to our online forums, from any unauthorised use of material obtained from our online forums or otherwise from any breach of the restrictions set out in paragraph 5.3 above by any representative of the School or any School User.

5.5 Where the School or any School User elects to upload materials to the online portal it accepts that it grants to Generation Global a non-exclusive, royalty-free licence (at Generation Global's sole discretion) to publish and use all such content (or any part of it, which may be edited, cropped or otherwise modified by Generation Global) in any way and at any time for non-commercial purposes in Generation Global's printed publications, as well as on the Website, for the purposes of marketing or educational use.

5.6 The person submitting the content or the copyright owner shall however remain the owner of copyright in any such content and shall be free to republish it wherever they or the owner so wish, subject to any other restraints.

5.7 The Contact Teacher and each of the School Users warrant that all materials uploaded to the Service by any of the School Users do not and shall not infringe any third party's intellectual property rights.

5.8 The Contact Teacher and each of the School Users hereby grant Generation Global a royalty‐free, irrevocable worldwide licence to use and adapt those materials for publication on the Service and to use them freely for educational, promotional and commercial purposes, for the full period of the intellectual property rights in those materials. The School warrants that it is entitled to grant the licence granted in this paragraph 5.4.

5.9 Generation Global accepts no responsibility whatsoever for the legality, validity, appropriateness or accuracy of materials uploaded and displayed on the Website or the content of any external websites linked from the Service.

5.10 Generation Global reserve the right (but not the obligation) at its sole discretion to refuse, change or remove without notice or explanation, any material uploaded (or link posted) by any of the School Users that it considers inappropriate or that it suspects might be illegal or in breach of these Terms and Conditions.

6 REMOVAL OF CONTENT AND CONTENT OBJECTIONS

6.1 Generation Global will not view or edit or pre-screen any contribution that the School, School Users or anyone else make to the Website generally and therefore, unless Generation Global is specifically notified of the nature of any item of Content, it cannot be assumed that Generation Global is responsible for having made it available on the Website. Generation Global and others that it designates, shall have the right (but not the obligation) at their sole discretion to refuse or remove any Content that is posted to, or available on, the forums or the Website without the need to give any reasons for doing so.

6.2 If you object to the publication of any material placed on the Website please let Generation Global know by sending an appropriately worded email to helpdesk@generation.global and Generation Global will take whatever action it deems appropriate.

7 COPYRIGHT

7.1 All designs, graphics, sounds, trade marks, images, text, software developed by or on behalf of Generation Global in connection with the Website and all the intellectual property rights therein are the exclusive property of Generation Global.

7.2 School Users may print off one copy, and may download extracts, of any page(s) included in the Content for personal use and may draw the attention of others within the School to content posted on the Website.

7.3 School Users must not modify the paper (or digital) copies of any materials they have printed off (or downloaded) in any way, and must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

7.4 Generation Global's status (and that of any identified contributors) as the authors of the Content must always be acknowledged when School Users make use of the Content.

7.5 School Users must not use any part of the Content for commercial purposes without obtaining a licence to do so from Generation Global.

7.6 If a School User prints off, copies or downloads any part of the Content in breach of these terms of use, that School User's right to use the Website will cease immediately and the School User must, at the option of Generation Global, return or destroy any copies of the materials which the School User has made.

8 ACCESS TO THE SERVICE

8.1 The Contact Teacher is responsible for ensuring that no unauthorised person gains access to the Service.

8.2 Generation Global reserves the right to remove any School User's access to the Service without notice in the event that Generation Global reasonably considers that such School User's use of the Service does not comply or has not complied with the School User's School's AIU Policy, and/or any provision of these Terms and Conditions.

9 DATA PROTECTION AND PRIVACY POLICY

9.1 The provision of School Users' personal information by the School and the use of it by Generation Global is subject to the Privacy Policy a copy of which can be found here.

9.2 The School confirms that it has obtained valid consent for the processing of the School Users' personal information in accordance with, and for the uses described in, the Privacy Policy (including wherenecessary obtaining explicit or verifiable consent from parents/guardians of children). The School shall keep a record of when such valid consent was obtained in respect of each School User, and shall report this information to Generation Global on a monthly basis.

9.3 The School agrees to indemnify and keep indemnified and defend at its own expense Generation Global against all regulatory fines, costs, claims, damages or expenses incurred by Generation Global or for which Generation Global may become liable due to any failure by the School or its employees or agents to comply with any of its obligations under this paragraph 9.

10 TECHNICAL SUPPORT

10.1 School Users may email concerns about the online platform not answered by the relevant user documentation to helpdesk@generation.global

10.2 In the event of an urgent enquiry preventing a teacher from conducting a class, the teacher or another member of staff at the School should contact helpdesk@generation.global.

10.3 Generation Global may (but shall not be obliged) to provide technical support in relation to the School Users' use of the Service. Without prejudice to the foregoing, the process for providing technical support will (if provided) be as follows: (a) Generation Global will attempt to correct any failures in the Service (a correction may include (without limitation) a software update or a reasonable and practical alternative such as a temporary correction or workaround or method of temporarily circumventing the problem); and(b) On completion of the correction Generation Global will update the Service, inform the Contact Teacher of the nature of the correction and provide the School with instructions for the proper use by School Users of the corrected version of the Service.10.4 The foregoing support shall not in any event include any operations required because of any failure of the Service resulting from: (a) incorrect use of the Generation Global online platform software,operator error or any School User's fault or negligence; (b) any fault or incorrect use of any other programs used by any of the School Users in conjunction with the Service; (c) any fault in or incorrect use of any of the hardware used by any of the School Users; or (d) a firewall on the School User's operating system.

11 LIABILITY

11.1 The Service is provided free of charge and "as is" and Generation Global give you no warranties with respect to the Services.

11.2 The information on this Website does not necessarily reflect the views and opinions of Generation Global. Neither should any suggestions or advice contained on this Website be relied upon in place of professional advice. The School and the School Users are responsible for checking the accuracy of relevant facts, instructions, suggestions and/or opinions given on this Website before entering into any commitment based upon them.

11.3 Generation Global shall not be liable to the School or any School User for: (a) any indirect, special or consequential losses which may be incurred by any School User, including any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation or income production, or any loss of data suffered by the School or any School User; (b) any loss or damage (whether incurred directly or indirectly) which may be incurred by the School or any School User as a result of or arising from:(i) any School or School User accessing data on the Service or the use by any School or School User of data accessed using the Service;(ii) the inability of any School or School User to (a) access the Service or (b) access any data on the Service or (c) use any data accessed using the Service;(iii) the use by the School or any School User of any links to external websites which are contained within the Service; or (iv) any communication on the Service between the School, any School User and third party users of the Service.

11.4 While Generation Global intends that the Service will operate fully and effectively it does not warrant that the Service will be continuously available or error free or free of rogue programming. Access to the Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for any other reasonable cause.

11.5 Nothing in these Terms and Conditions shall operate to exclude or restrict Generation Global's liability for: (a) death or personal injury resulting from negligence; (b) breach of the obligations arising from section 12 of the Sale of Goods Act 1979; or (c) fraud or deceit.

12 WEBSITE LINKING

12.1 Generation Global welcomes 'hot links' to the home page of the Website, but not 'deep linking' by which we mean that nobody may include a link to any page of the Website that is not the home page. Neither may anybody display the contents of the Website (or any page from it) or allow it to be displayed surrounded or framed or otherwise surrounded by material not originating from Generation Global without its consent.

12.2 On the Website the School and School Users may be offered automatic links to other websites. Whilst Generation Global hopes that you will be interested in those websites, the School and School Users acknowledge that the content on those pages is not subject to Generation Global's control and the owners of those third party websites may be independent from Generation Global and it does not endorse or accept any responsibility for their content.

13 ENDING YOUR MEMBERSHIP

13.1 The Contact Teacher can terminate the School's membership of the Service at any time by giving notice in writing to Generation Global.

13.2 Generation Global reserve the right at any time without notice to terminate the School's membership of the Service.

14 VARIATION

14.1 No statement, description, information, warranty or recommendation contained in any catalogue, price list, advertisement or communication or made verbally by any of the agents or employees of Generation Global shall be construed to enlarge, vary or override in any way these Terms and Conditions.

14.2 Any concession made or latitude allowed by Generation Global to the Contact Teacher or any School User shall not affect the strict rights of Generation Global under these Terms and Conditions. If in any particular case any of the provisions of these Terms and Conditions shall be held to be invalid or shall not apply to these Terms and Conditions the other provisions shall continue in full force and effect.

14.3 Generation Global shall at any time be entitled to vary these Terms and Conditions and shall notify the Contact Teacher of any such changes. The Contact Teacher will be deemed to have accepted any such variation by virtue of any continued use of the Service.

15 CONFIDENTIALITY

15.1 Any information and knowhow whenever disclosed by Generation Global ("Confidential Information") are disclosed to the Contact Teacher or School Users on a confidential basis.

15.2 The Contact Teacher and all School Users shall not without the prior written consent of Generation Global disclose to any third party any of the Confidential Information whether orally or in writing or otherwise or reproduce any such Confidential Information by any means.

15.3 In respect of any part of the Confidential Information which enters the public domain lawfully and otherwise than through a breach of this Condition the obligations of confidentiality set out in this Condition will in relation solely to such Confidential Information cease to have effect from the date of such public disclosure.

15.4 Reputation - The Contact Teacher and all schools users shall not, whether through an act or by omission, including through use of confidential information, do anything that might bring Tony Blair or the Tony Blair Institute into disrepute, contempt or ridicule. The Supplier acknowledges and expressly agrees that, in the light of the likely detriment to the interests of Tony Blair and/or the Tony Blair Institute, which would be caused by a breach of this paragraph 15.4, the Tony Blair Institute shall be entitled to secure relief.

16 JURISDICTION

16.1 The Generation Global online portal is controlled and operated by the Tony Blair Institute from its offices within the UK. Generation Global makes no representation that materials in the Website or the Service are appropriate or available for use in other locations. Those who choose to access this site from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

16.2 These Terms and Conditions shall in all respects be governed by English law and shall be deemed to have been made in England and the School, School Users and Generation Global agree to submit to the non-exclusive jurisdiction of the English courts.
